Terms of Service

These terms apply when you use any Neuronyx AI service: Lahja, a custom AI agent we build for you, the Neuronyx models and API, or our websites. By using them, you agree to these terms. If you sign a separate written agreement with us, that agreement wins where it differs from these terms.

“Neuronyx”, “we” and “us” means Neuronyx AI, Baghdad, Iraq (info@neuronyxai.com). “You” means the business or person using our services. “Your customers” means the people who message your business.

1. What we provide

• Lahja and custom agents: we set up, host and maintain an AI assistant on your WhatsApp Business number (and other channels if you add them), connected to the information you give us — your catalog, prices, hours, policies, schedules or customer lists.
• Neuronyx models and API: access to our chat, text-to-speech and speech-to-text models through an API key, paid per use.
• Support: Saturday to Thursday. We answer questions and outage reports within one working day.

What exactly is included in your plan is listed on our pricing page or in your order confirmation.

2. Your WhatsApp number and Meta account

• Your business owns its WhatsApp number, its Meta business account, and its relationship with Meta. We connect to it as your technology partner.
• You agree to follow WhatsApp’s Business Terms and Business Messaging Policy and Meta’s commerce rules. Meta may limit or block a number that breaks them; that is outside our control.
• Meta’s own charges for WhatsApp messages, where they apply, are passed on to you at Meta’s cost, unless your written agreement with us says otherwise. Our plan prices do not include them.
• Some features (for example Instagram and Messenger) can only go live after Meta verifies your business. We’ll tell you if Meta’s approval is needed.

3. Your information and your customers

• You own your data: your catalog, your business information, and your customers’ conversations, orders and requests.
• You give us permission to use that data only to run, support and improve your service, as described in our Privacy Policy. We don’t use it to train AI models and we don’t sell it.
• You are responsible for having the right to share your customers’ information with us, and for telling your customers how their data is used (for example, by linking to your privacy policy or ours).
• When you stop using our service, we delete your data as described in our Privacy Policy, after giving you the chance to request an export.

4. About AI answers

Our assistants are designed to answer only from the information you give us, and to pass anything they aren’t sure about to your staff. Still, AI can make mistakes. So:

• Keep your catalog, prices and policies up to date by sending us changes on WhatsApp or by email. Changes go live within 2 working days. (A shared spreadsheet you can edit yourself is coming soon; when it is available, its changes go live faster.)
• Orders, bookings and quotes the assistant collects are requests until your staff confirm them.
• Your staff can take over any conversation at any time. Complaints, refunds and discounts always go to your staff.
• The assistant tells customers it is your shop’s smart assistant and never pretends to be a person.

5. Acceptable use

You may not use our services to:

• send spam, unsolicited bulk messages, or messages to people who haven’t agreed to hear from you;
• sell or promote anything illegal in Iraq, or anything WhatsApp’s Commerce Policy forbids;
• impersonate another person or business, or deceive customers;
• collect passwords, card numbers or other sensitive data through the assistant;
• run a general-purpose chatbot on WhatsApp (WhatsApp’s terms only allow assistants tied to your business);
• harass, threaten or discriminate against anyone;
• try to break, overload, copy or reverse-engineer our systems or models, or resell API access without our written agreement.

We may pause a service that breaks these rules, and we’ll tell you why.

6. Plans, payment and trials

• Prices are listed in US dollars, with an Iraqi dinar amount at the rate we publish. Plans are billed monthly in advance unless you prepay.
• Free trial: new Lahja subscriptions start with a 14-day free trial and no setup fee. If you don’t continue after the trial, nothing is charged.
• Extra usage above your plan (for example, extra chats or extra products) is billed at the prices on our pricing page.
• Prepaid plans: if you prepay 6 months, you get 1 month free and your price is fixed for that period. Prepaid months are not refunded if you stop early.
• Payment methods: the local payment options listed on your invoice.
• Late payment: if a payment is more than 7 days late, we may pause the service until it is paid. Your data is kept while the service is paused.
• API: API usage is charged per use, at the prices on our models page, from prepaid credit on your key.
• API credit: unused credit does not expire while your key is active. Credit is not refundable, except that if we end the API service without a breach on your side (section 9), we refund the unused balance.

7. Our software

We own the software, the models’ instructions, the voices, and everything we build to run your assistant. Your subscription gives you the right to use it while you are subscribed; it does not include the source code. You own your data (section 3).

8. Availability and changes

We work to keep every assistant running all day, every day, and we monitor it. Short interruptions can happen — for example during maintenance, or when WhatsApp, Meta or another provider has a problem. We’ll tell you about planned maintenance in advance where we can.

We may improve or change features. If we remove something your plan includes, we’ll tell you at least 30 days before.

9. Ending the service

• You can cancel at any time by emailing info@neuronyxai.com. The service runs until the end of the period you’ve paid for.
• We can end the service with 30 days’ notice, or immediately if you seriously break these terms or WhatsApp’s rules.
• After the service ends, you can ask for an export of your data within 30 days; after that we delete it as described in our Privacy Policy.

10. Changes to these terms

If we change these terms, we’ll update the date at the top and tell active customers about important changes before they take effect. Continuing to use the service after that means you accept the new terms.

11. Law

These terms are governed by the laws of the Republic of Iraq. If we disagree about something, we’ll first try to resolve it directly and in good faith.
